These Terms of Service ("Terms") constitute a legally binding agreement between you and the business entity you represent ("Customer", "You", or "User") and Real Builds LLC, doing business as VendorsCert and PactIQ ("Company", "we", or "us"), governing your access to and use of the VendorsCert compliance platform, AI compliance review tools, and PactIQ electronic signature and cloud fax services (the "Services").

1. Acceptance & Authority

By creating an account, uploading compliance documents, executing an electronic signature via PactIQ, or subscribing to a paid plan, you represent and warrant that you have the legal authority to bind your organization to these Terms.

2. Important Disclaimer: No Legal or Insurance Brokerage Advice

VendorsCert provides automated workflow software, OCR extraction, and AI-assisted document scoring to help businesses track third-party vendor compliance. Real Builds LLC is NOT an insurance company, licensed insurance broker, underwriter, or law firm. Automated AI compliance scores, deficiency flags, and license lookups (including state registry checks such as WA L&I or OR CCB and national databases) are provided as administrative aids on an "as-is" basis. Customer remains solely responsible for reviewing original insurance policies, verifying endorsement adequacy, and making final vendor qualification decisions.

3. PactIQ Electronic Signatures, Cloud Fax & Payment Links

ESIGN & UETA Compliance: All electronic signatures executed through PactIQ are governed by our Electronic Record and Signature Disclosure. Users are responsible for verifying the authority of counter-signers.
Lawful Fax & Messaging Use: Customers using PactIQ Cloud Fax or automated renewal reminders agree to comply with the Telephone Consumer Protection Act (TCPA), Junk Fax Prevention Act, and CAN-SPAM Act, and warrant that they have an established business relationship or prior express consent to transmit compliance requests to their vendors.
Stripe Payment Links: Where Customer enables PactIQ Sign-and-Pay features, payment processing is governed by the Stripe Connected Account Agreement. Real Builds LLC is not a party to underlying vendor contracts or payment disputes between Customer and third parties.

5. Customer Data & Intellectual Property

Customer retains all ownership rights in and to the compliance documents, vendor lists, and contracts uploaded to the Services ("Customer Data"). Customer grants Real Builds LLC a limited license to host, encrypt, process, and transmit Customer Data solely as required to deliver the Services.

6. Limitation of Liability & Indemnification

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL REAL BUILDS LLC, ITS OFFICERS, MEMBERS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, UNINSURED VENDOR CLAIMS, LAPSED THIRD-PARTY INSURANCE COVERAGE, OR BUSINESS INTERRUPTION. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE TOTAL SUBSCRIPTION FEES PAID BY CUSTOMER TO REAL BUILDS LLC IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

7. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Washington and applicable federal laws of the United States, without regard to conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Washington State.
